(TSXV: SKAL.P) (the 'Corporation”) announces the completion of its previously announced 'Qualifying Transaction” as defined under Policy 2.4 - Capital Pool Companies of the TSX Venture Exchange (the 'Exchange”). The Qualifying Transaction was effected through a reverse takeover structured as a court approved plan of arrangement under Section 182 of the Business Corporations Act (Ontario) (the 'Arrangement”) on the terms and conditions set out in the merger agreement dated October 16, 2024 among the Corporation and Matador Gold Technologies Inc.
