The NCLT Mumbai has rejected the demerger plan of Talwandi Sabo Power Ltd, a subsidiary of Vedanta Ltd, due to insufficient disclosures. SEPCO, owed ₹1,251 crore by TSPL, challenged the restructuring. Vedanta plans to appeal the decision and continues to support the demerger scheme.

This will allow the mining conglomerate to list its businesses - aluminum, oil & gas, power, steel - as separate units. At present, these businesses are subsumed within Vedanta, while Hindustan Zinc, which includes revenue streams from white metals zinc and silver, is listed separately. After the Merger, Vedanta will hold the Hindustan Zinc business.

Another source said that the key factor behind the weak response was the absence of Citibank from the rupee bond market for years, with this trade marking its rare participation. However, Citibank's limited marketing efforts failed to generate strong demand, further forcing Vedanta to offer additional incentives to investors.

Both secured and unsecured creditors of Vedanta will take a final call on the demerger of the mining conglomerate today and vote on it.

As per Vedanta's revised December 2024 composite scheme of the arrangement, the demerger will result in the creation of five sector-focused entities - Vedanta Aluminium, Vedanta Oil & Gas, Vedanta Power and Vedanta Iron & Steel, while Vedanta Limited will hold both upcoming and some existing businesses not covered by the above four verticalised revenue streams.
